About Us Sharpe Maintenance Services Ltd General Conditions of Sale/Hire
1. Inconsistent Terms.
These Terms and Conditions are a material part of the agreement between the Buyer/Hirer (hereafter referred to as the Customer) and Sharpe Maintenance Services Ltd (hereafter referred to as SMS) and supersede inconsistent terms and conditions in documentation submitted by the Customer to SMS. Any terms requested or stated in the Customer's order or otherwise will be treated as inapplicable and not binding on SMS in any way whatsoever.

2. Price.
Unless otherwise stated in SMS's written quotation, prices do not include carriage charges, import/export duties or VAT. SMS will endeavor to hold prices shown to the best of its ability but reserves a right to amend them without notice at any time.

3. Payment.
SMS's standard terms for service are NET 30 days, payable in Pounds Sterling. SMS's standard for machine sales/hires and Customers without a proven/stable credit trading account is Pro Forma payable in pounds sterling prior to delivery, site attendance or hire, unless otherwise agreed in writing. If full payment of any invoice has not been received by SMS within 30 days of the date of invoice then from the 31st day following the date of invoice interest will accrue on the outstanding balance at the rate of 8% above base rate per calendar month and the interest calculation in the following calendar month will be made upon the total balance outstanding at the beginning of the month including any interest accrued to date. If SMS proceeds to recover the payment through the Courts or otherwise the Customer will be responsible for the debt, the interest, administrative, legal and/or other costs incurred in the recovery of the debt. The Customer has no rights of set-off. Credit terms may be withdrawn or changed at any time. Orders may be suspended and any warranty void if an account is delinquent/unpaid within terms. Credit/debit card payments will be subject to a % fee equivalent to what SMS is charged for each transaction by the authorising bank.

4. Retention of Title
Notwithstanding delivery of the Goods, property of the Goods shall not pass from SMS to the Customer until the Customer has paid all sums due to SMS under this contract and all other sums owed by the Customer to SMS under any other contract or otherwise. All goods are supplied on the basis of a hire agreement in which all the goods belong to SMS until full payment has been made in full and cashed; upon completion of this, title of the goods transfers from SMS to the customer. If payment is not made for any reason, the customer will return the goods in full and in the same condition as supplied, unopened and unused. The customer has 30 days from the date of invoice to return goods. If the Customer fails to return the Goods in the condition supplied and fails to settle their account, SMS may enter upon any premises owned, occupied or controlled by the Customer where the Goods are situated and repossess the Goods. Full risk in the Goods passes to the Customer immediately as the Goods are delivered to the destination nominated by the Customer. If the Customer arranges collection themselves either directly or by courier, full risk passes to the Customer from the moment the designated courier Company or collection individual begins to load the equipment onto their vehicle.

5. Changes and Corrections.
Clerical errors in SMS quotations and invoices are subject to correction. SMS reserve the right to change terms, conditions or pricing at anytime.

6. Handling & Carriage.
Customers must inspect and report all claims for shortages or incorrect charges within 3 days after the Customer's receipt of that particular delivery. SMS shall select the carrier. SMS shall not be liable for damages or penalty for delay in delivery or for failure to give notice of any delay, and the carrier shall not be deemed to be an agent of SMS. SMS may make partial deliveries. SMS delivery dates are approximate dates only. Requests for proof of delivery must be received in writing within 10 days after receipt of the invoice for the goods.

7. Limited Product Warranty.
SMS's sole and exclusive obligation to the Customer for any product supplied by SMS and sold hereunder is the standard manufacturer's limited parts warranty which covers parts only for failure due to manufacturer defect. Labour is not covered. Any used/refurbished machines supplied by SMS will be covered by the SMS warranty if applicable, for the time-frame stated on the invoice applicable to that sale. If a product is supplied with an SMS warranty this warranty will cover all new parts supplied or fitted for failure due to manufacturing default. Labour is not covered. All machinery must be on an SMS service agreement for the duration of the warranty period for warranty to be valid. Parts failure due to wear & tear, mis-use, abuse, loss or damage how-so-ever caused are not covered. All product returns must comply with the manufacturer and SMS Return Materials Policy and be accompanied by the manufacturer's Return Material Authorisation and a signed copy of SMS terms & conditions of sale/hire (signed by an authorised signatory) for any warranty to be valid. It is the Customer's responsibility to return any goods for warranty inspection at its own cost. Responsibility for the returned goods does not pass to SMS until signed for by an SMS representative. Following inspection the Customer must arrange collection of the goods or instruct SMS to arrange delivery back to the Customer premises. Any return delivery charges that are applicable are payable in advance to SMS. Failure to collect goods or instruct return delivery and pay any associated charges within 30 days of the warranty inspection will result in the goods being scrapped. All machine warranties are subject to the machinery being serviced and maintained as per the manufacturer's & SMS guidelines. Any fault, however small, which occurs on a warranted item must be reported to SMS in writing within 24 hours of the fault occurring. SMS accept no responsibility for any damage whether directly or indirectly caused by a non-reported fault as per the above terms and any warranty shall be null & void with immediate effect. Faults must be reported in writing as per the said terms in order to maintain warranty as unreported faults can result in further associated or unassociated damage to the machine.

8. Battery & Charger Warranty.
External batteries and chargers are not covered by the machine manufacturer or SMS. All batteries and chargers supplied with or without machines are warranted directly by the battery/charger manufacturer itself. In the case of a warranty claim it is the Customer's responsibility to return the battery/charger for warranty inspection at its own cost. Subject to a copy of SMS terms & conditions of sale and battery guidelines being supplied (signed by an authorised signatory), SMS will act on behalf of the customer in relation to the warranty claim. Responsibility for the returned goods does not pass to SMS until signed for by an SMS representative. Following independent assessment by the battery manufacturer and appropriate action taken, the Customer must arrange collection of the goods or instruct SMS or the battery manufacturer to arrange delivery back to the Customer premises. Any return delivery charges that are applicable are payable in advance to SMS. Failure to collect goods or instruct return delivery and pay any associated charges within 1 month of the warranty inspection will result in the goods being scrapped.


9. Limited Service Labour Warranty.
SMS's sole and exclusive obligation to the Customer for any service labour provided by SMS and sold hereunder is SMS's standard 7-day limited service labour warranty and a signed copy of SMS terms & conditions of sale/hire (signed by an authorised signatory) must be supplied for any warranty to be valid. Any fault, however small, arising within 7 days of an SMS engineer working on the machine must be reported in writing to SMS within 24 hours of the fault occurring for an SMS engineer to assess if the fault is related to work carried out. SMS accept no responsibility for any damage whether directly or indirectly caused by a non-reported fault as per the above terms and any warranty shall be null & void with immediate effect. Faults must be reported in writing as per the said terms in order to maintain warranty as unreported faults can result in further associated or unassociated damage to the machine.

10. Hire Equipment/Machinery.
Equipment/Machinery is hired by SMS for general cleaning purposes NOT including Builders Cleans unless otherwise stated/agreed in advance. The Customer is fully liable for the equipment/machinery for the entire time it is at the Customer's premises and shall insure the equipment/machinery against loss, theft and damage how-so-ever caused until the machine has been collected from site by SMS. In the event of loss, theft or damage how-so-ever caused, the Customer shall be liable for the full retail replacement cost or repair of the equipment/machinery and the rental charges for each day SMS is without the equipment/machinery. All equipment/machinery is to be returned to SMS in the condition supplied, washed down and emptied; cleaning charges will apply if this condition is not met. When the hire is on-going without a fixed end date, the hirer must give SMS a minimum of 1 weeks' notice of off-hire date and shall be liable for all hire charges up to the end of this notice period.

11. Limitation of Liability.
THE ABOVE-REFERENCED STANDARD LIMITED MANUFACTURER'S WARRANTY IS EXCLUSIVE AND IS GIVEN AND ACCEPTED IN LIEU OF ANY AND ALL OTHER WARRANTIES EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ALL OTHER REMEDIES. THESE ARE THE ONLY REMEDIES OF THE CUSTOMER FOR ANY BREACH OF WARRANTY OR ANY OTHER CLAIM. SMS'S TOTAL LIABILITY ARISING OUT OF THE SUPPLYING OF PRODUCTS, THE USE OF PRODUCTS, OR THE PROVISION OF SERVICE LABOUR, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE SHALL NOT IN ANY CASE EXCEED THE COST OF THE GOODS SOLD FOR WHICH ANY CLAIM IS MADE. AND IN NO CASE SHALL SMS BE LIABLE TO THE BUYER OR ANY THIRD PARTY FOR ANY INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES THE BUYER AGREES TO INDEMNIFY AND HOLD SMS HARMLESS FROM ALL CLAIMS, DEMANDS, AND COSTS, INCLUDING REASONABLE LEGAL FEES, MADE BY THIRD PARTIES AGAINST SMS RELATING TO BUYER'S USE OR INSTALLATION OF THE PRODUCTS, AND TO PAY ANY COSTS AND EXPENSES INCURRED BY SMS TO ENFORCE BUYER'S OBLIGATIONS.

12. Force Majeure.
SMS is not liable for any failure to perform, where, in SMS's sole judgment, such performance is commercially impracticable or where such failure to perform is due to an act of God, act of governmental authorities, fire, earthquake, or other natural disasters, epidemics, labour dispute, shortages, accident, insurrection, war, terrorism, or other causes beyond the reasonable control of, or without the fault of SMS or which would cause SMS to incur unreasonable expense to avoid.

13. Severability.
Either party's failure to enforce any term or condition in this agreement shall not be construed as a waiver of any right available to either party hereunder.
